Our market-leading team of property funds experts provide smart, practical solutions to complex property finance transactions to clients including Bank of Queensland and Rockspring Property Investment Managers.

We have advised on a number of significant retail managed investment schemes, with our full service offering covering all aspects of the property investment lifecycle from drafting constitutions, compliance plans and product disclosure statements, to advising on custody deeds, obtaining ASIC and/or ASX relief, and advising on unit holder meetings.

For wholesale managed investment schemes, we support our clients in structuring the scheme to minimise the impact of the licensing, as well as managing the investment and product disclosure provisions of the Corporations Act 2001 (Cth).

We advise on the structuring of mergers, together with preparation of all documentation including combination explanatory memorandum/PDS, notice of meeting and constitution amendments. We also advise on stamp duty implications, including land-rich provisions and trust merger stamp duty exemptions.

Credentials

Funds manager: We acted for a funds manager in relation to the development and construction of a 20 storey mixed commercial and residential project in Townsville, as well as a residential development in Townsville comprising 20 luxury apartments.

Distressed property loans: We advised Bank of Queensland on the July 2012 sale of a portfolio of distressed property loans to Goldman Sachs with a face value of over $150 million.

Fundraising and corporate compliance: Our team regularly advises The Village Building Company Limited, a Canberra property development company and syndicator, on its fundraising activities and corporate compliance issues.

ASIC passport relief: We have advised numerous companies on obtaining ASIC passport relief, including UK property funds management group Rockspring Property Investment Managers LLP.
